We advise and represent primarily medium-sized companies and/or shareholders and corporate officers (managing directors, board members and supervisory board members) in the formation, management as well as restructuring and transfer of companies.

The main focus of our work is advising on the formation of companies as well as providing ongoing corporate law advice to companies in the strong SME sector in the Stuttgart region and throughout southern Germany. However, clients throughout Germany also place their trust in us in important special matters, such as corporate law litigation or the transfer and merger of companies. In board of directors and management matters, we have many years of experience both on the side of the companies and on the side of the boards of directors and managing directors.

Increasingly, we are also supporting foreign companies with their investments in Germany.

The formation of companies (partnerships and corporations) is one of our main areas of expertise in corporate law. We draft partnership agreements, articles of association and bylaws.

You want to become self-employed, set up a so-called “Ich-AG” or build up a small business? Especially at the beginning of such a business start-up, there are many labor and social law aspects to consider. There are special regulations for founders of new businesses that make the start of self-employment easier. For example, new companies can limit employment contracts with employees for up to four years without a factual basis.

But also in other areas, early consultation is an important prerequisite for a successful start into self-employment. We are happy to help you with this.

We provide our clients with ongoing advice on corporate law and advise on matters such as changes in the group of shareholders or the conclusion of corporate cooperation agreements.
We can provide companies with a wide range of support in preparing and holding shareholders’ meetings and general meetings, even in critical situations involving high levels of liability.
When drafting complex corporate agreements such as control and profit transfer agreements, management agreements, trust models or operating lease agreements, we naturally also take into account the tax framework.

In board of directors and managing director matters, we can act comprehensively on behalf of both the company and the respective board members.
We draw up contracts for board members and managing directors and provide support in the amicable or contentious separation of managing directors and board members. We are also familiar with the expert processing of breaches of duty as well as the judicial enforcement or defense of resulting claims for damages.

In shareholder disputes and other disputes under corporate law, we undertake litigation before courts and arbitration tribunals on behalf of our clients.

The transfer of companies and measures under transformation law form a further focus of our work. In doing so, we always take into account the employment law and tax law aspects of such transactions.

In the interest of our clients, we settle questions of anticipated succession in the corporate sector under aspects of tax, inheritance and corporate law.

In the case of midsize company acquisitions, we act as competent advisors in preparing and conducting contract negotiations, performing due diligence, concluding contracts and integrating the companies involved. If necessary, we cooperate with other advisors in this area, especially for larger and international projects. We also advise on measures under transformation law (mergers, changes of legal form, etc.).

In the context of a family law dispute, be it in the case of gain, maintenance, etc., the valuation of a company is usually also an issue. This requires special knowledge, especially in the field of business administration and economics. Case law provides the lawyer with several valuation methods for this purpose Support is provided by the Institut für Wirtschaftsprüfer (IDW), which has developed a standard for business valuation for family law and inheritance law in the form of IDW S 13. It is important to choose the best method for you and not – as is often the case – to leave the choice to the court.

It is important to take care of the matter at an early stage before the marriage by drawing up a marriage contract and not just shortly before the divorce, in order not to lose time and money unnecessarily.

Industrial property protection refers to the protection of intellectual property and is divided into the sub-areas of trademark law, patent and utility model law, employee invention law, design (design patent law), competition law and copyright law.

The success of medium-sized companies also depends on the legally secure structuring of the framework conditions under commercial law and the effective enforcement of or defense against claims under commercial law. Therefore, classical commercial law (commercial transactions, commercial register, powers of attorney under commercial law) is one of our main areas of advice.

We also focus on distribution law, transport law and corporate liability issues. In this area, we mainly advise medium-sized companies from the Stuttgart region and southern Germany. However, we also act for companies and sales intermediaries nationwide and are increasingly taking on the ongoing support of foreign companies in their business activities in Germany.

We are familiar with the cross-border aspects of drafting contracts and dealing with suppliers and customers.

We support our clients in all commercial law issues arising from their day-to-day business, from drafting contracts to disputes with customers and suppliers in or out of court. The spectrum of our activities ranges from sales contracts and hedging transactions to sponsoring agreements or advertising contracts. We support our clients in warranty and product liability cases.

We take care of the necessary applications to the commercial register and advise on powers of attorney under commercial law (procuration, power of attorney) in your company.

We are happy to advise you on competition law requirements that must be urgently observed when setting up your business, and we check your general terms and conditions and your cancellation policies for dangerous loopholes or violations. If you have received an unjustified warning, we will check for you how you can defend yourself against this as cost-effectively as possible.

We are also happy to represent you against competitors who do not comply with competition law regulations to your detriment and consistently assert your rights.

If you have become a victim of headhunters or suffer from so-called “SPAM-mails”, we will be happy to advise you on how to effectively defend yourself against them.

The economic criminal law includes all criminal norms, which can be fulfilled in the area of the economic and business life.

Examples are corruption offenses, insolvency offenses, embezzlement or fraud.

We advise both companies and the respective sales intermediaries on all contractual issues relating to the relevant forms of distribution (franchise law, commercial agency law, authorized dealer law, direct sales law). The basis of successful sales activities is the legally sound drafting of sales contracts.

Here we can draw on many years of experience, also in the international field.

We also advise companies, commercial agents, employed sales representatives, franchisees and authorized dealers on questions relating to ongoing contractual relationships and disputes following their termination.

A special focus of our work is the defense or enforcement of compensation claims.

In domestic and foreign business transactions, good contract drafting is of essential importance for the smooth execution of a transaction. This applies to all types of contracts, both in domestic legal transactions and in export transactions.

In order to avoid legal disputes from the outset, it is advisable to observe the following rules when drafting contracts: clear wording, avoidance of contradictions, logical structure, fairness and completeness.

We are happy to assist you in the drafting and preparation of contracts in German and English and, by arrangement, also in the negotiation of contracts. We can draw on many years of professional experience in the contract and legal department of an international industrial group in the mechanical and plant engineering sector.

Unpaid accounts receivable are not only very annoying, but often even represent an economic threat! You have rendered your service in the confidence that your contractual partner will render his service, the payment, in the same way. But some customers do not react even to several invoices and reminders.

We represent companies, from small to medium-sized to large enterprises, and consistently collect their justified claims.

We represent our clients from the first out-of-court dunning letter to the judicial dunning procedure, when applying for an enforcement order, attend court hearings and pursue the enforcement of the enforcement order or the issued payment judgment. The mandate ends only with the payment of the debtor or – in the worst case – with the submission of an affidavit and the sending of a comprehensive list of assets.

We also assert your claims internationally. Through our membership in AEA International, the world’s largest association of lawyers, we are in regular contact with European and non-European lawyer colleagues, with whose support we can demand payment from defaulting debtors abroad. If necessary, we enforce your justified claims in close cooperation with the foreign colleague before the corresponding foreign court.
